Terms of Service

Parties

This Service Agreement ("Agreement") is entered into between TaulP LLC ("TaulP," "we," "us") and the individual or business entity requesting services ("Client," "you"). This Agreement becomes effective upon the Client's approval of the completed Build and payment of the first month's fee (or the one-time fee, for Own It Outright).

1. Services

TaulP agrees to design, build, and deploy a website for the Client as described in the selected plan. All sites are built using AI-assisted tools and deployed to fast, secure hosting infrastructure.

Build on spec. TaulP will design, build, and deploy a complete, custom 5-page website on a staging URL (the "Build") at no cost to the Client. The Build is delivered within 3-5 business days of receiving the Client's business information. Upon the Client's written approval of the Build and payment of the first month's fee (or the one-time fee, for Own It Outright), TaulP will deploy the Build to the Client's production domain. Prior to approval and payment, the Client is under no obligation to TaulP, and TaulP retains all rights to the Build. There is no setup fee, no build fee, and no deposit. If the Client chooses not to proceed after viewing the Build, no charge is made and neither party has any further obligation to the other.

2. Monthly Plans (Essential, Standard & Growth)

Monthly subscriptions begin on the date your site goes live on your production domain. All monthly plans require a 3-month initial commitment ("Launch Period"). After the Launch Period, subscriptions continue month-to-month and may be canceled at any time. Annual billing is available at a discounted rate; annual subscriptions are billed upfront for 12 months and are non-refundable after the first 30 days.

TaulP will provide hosting, uptime monitoring, SSL maintenance, and site updates as described in the selected plan. The Essential tier includes up to 5 pages with basic text and hours updates. The Standard tier includes unlimited pages, design revisions, managed content updates, and priority support. The Growth tier additionally includes privacy-focused analytics (cookie-free), Google Search Console connection, a monthly automated traffic report, SEO monitoring and recommendations, and a dedicated account contact. No plan includes content creation (blog posts, social content, or similar) or guarantees regarding search engine rankings or traffic outcomes.

Cancellation: After the 3-month Launch Period (or annual term), you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued. Upon cancellation, TaulP will provide the Client with all site files and assets within 5 business days.

Price changes: TaulP reserves the right to adjust pricing with 30 days written notice. You may cancel without penalty if you do not accept a price change.

3. Own It Outright

For the one-time fee of $2,497 USD, TaulP will design, build, and deploy a site on spec, then transfer all source code and repository access to the Client within 5 business days of payment. A 30-day post-launch support window is included. No recurring fees apply. As with monthly plans, the Client is under no obligation until the Build has been approved and payment has been made.

4. Client Responsibilities

The Client agrees to provide accurate business information, respond to review requests for the Build within 14 days, and maintain valid payment on file for monthly plans. TaulP is not responsible for delays caused by the Client's failure to provide required information. If the Client does not respond within 14 days of the Build being delivered, TaulP reserves the right to close the request and reuse or retire the Build at its discretion.

5. Intellectual Property

Upon full payment, the Client owns all content specific to their business (copy, images, branding). TaulP retains rights to underlying code frameworks and templates. For outright purchases, full source code ownership transfers to the Client upon payment.

Portfolio & marketing license. The Client grants TaulP a non-exclusive, perpetual, royalty-free license to display, reference, and reproduce screenshots, video walkthroughs, before-and-after comparisons, and descriptions of the completed website in TaulP's portfolio, marketing materials, social media, case studies, pitch decks, and promotional content. This license does not grant TaulP the right to modify the Client's site or use the Client's name or likeness in paid advertising without separate written consent. The Client may revoke this license at any time by written request, after which TaulP will remove the referenced materials within 30 days.

6. Payment Disputes & Chargebacks

If a payment is disputed through the Client's bank or payment provider, TaulP reserves the right to immediately suspend the website and all hosting services until the dispute is resolved. If the dispute is upheld in the Client's favor, TaulP retains all rights to the Build and may take the site offline permanently. The Client agrees to contact TaulP directly before initiating any payment dispute to allow a good-faith resolution.

7. Warranty Disclaimer

All services and deliverables are provided "as is" and "as available." TaulP makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TaulP does not guarantee specific search engine rankings, traffic levels, uptime percentages, or business outcomes from website ownership.

8. Limitation of Liability

TaulP's total liability under this Agreement shall not exceed the total fees actually paid by the Client in the 3 months preceding any claim. In no event shall TaulP be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, loss of data, or business interruption, regardless of the cause of action or theory of liability.

9. Indemnification

The Client shall indemnify, defend, and hold harmless TaulP and its members, employees, and contractors from and against any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) content, materials, images, or information provided by the Client; (b) the Client's use of the website in violation of any applicable law; or (c) any breach of this Agreement by the Client.

10. Refund Policy

Because no setup fee, build fee, or deposit is charged, there is nothing to refund prior to launch. The Client pays nothing until the Build has been approved and deployed. After launch, monthly subscription fees are non-refundable for the current billing period, and the one-time Own It Outright fee is non-refundable once source code has been transferred. Monthly plans carry a 3-month initial commitment; fees for the remaining months of the Launch Period are due even if the Client cancels early.

11. Force Majeure

TaulP shall not be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to server or hosting provider outages, third-party API failures, natural disasters, internet disruptions, or government actions.

12. Modifications to This Agreement

TaulP may update or modify the terms of this Agreement with 30 days' written notice to the Client via email. Continued use of TaulP's services after the notice period constitutes acceptance of the updated terms. If the Client does not accept the changes, the Client may cancel their subscription without penalty before the changes take effect.

13. Governing Law

This Agreement is governed by the laws of the State of Alabama. Any disputes arising under or in connection with this Agreement shall be resolved in the state or federal courts located in Jefferson County, Alabama, and both parties consent to the exclusive jurisdiction of those courts.

14. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties. By approving the Build and completing payment, the Client acknowledges they have read, understood, and agreed to these terms. This Agreement supersedes all prior discussions, representations, or agreements, whether written or oral.
